Practice Experience

Clinton Lipscomb is a member of the firm's insurance law group. His practice is informed by his prior experience as an associate in the New York, Paris, and Washington, D.C. offices of an international law firm, where he served in both investigative and compliance advisory roles with a focus on matters implicating international and foreign bribery concerns. His practice involved advising clients in the context of regulatory inquiries by enforcement agencies such as the U.S. Department of Justice, U.S. Securities and Exchange Commission, U.K. Serious Fraud Office, and French Agence Fran├žaise Anti-Corruption.

In addition to assisting companies with conducting global anti-corruption investigations, risk assessments, and compliance analyses in connection with asset acquisitions, Clinton worked with clients to strengthen internal policies and procedures and to analyze and manage third-party relationships from a compliance perspective. He also advised on anti-corruption issues related to the U.S. International Traffic in Arms Regulations.

Clinton began his practice in the area of product liability litigation, and has also advised on general corporate compliance and securities regulation matters.

Representative Matters

  • Assisted major multinational aerospace and defense company in investigation and due diligence review of internal practices and third-party relationships for risk factors pertaining to the U.S. Foreign Corrupt Practices Act and other international anti-corruption laws, including review and investigation of third parties active on six continents. This work culminated in the largest anti-corruption resolution in history.
  • Assisted major multinational aerospace and defense company in connection with assessment of corruption risk in global operations and procedures, and advised on revisions to policies and procedures informed by risk assessments and regulatory guidance.
  • For supermajor oil and gas company, conducted pre- and post-acquisition anti-corruption due diligence concerning multi-billion-dollar asset acquisitions.
  • For supermajor oil and gas company, performed compliance assessments of subsidiary entities headquartered in high-risk areas including Russia and Papua New Guinea.
  • For national oil and gas company, advised on issues regarding Form 8-K disclosure to SEC.
  • For major multinational luxury goods company, developed standardized anti-bribery and other compliance clauses for use in contracts with numerous types of third parties including suppliers, subcontractors, distributors, sales agents, commercial resellers, and joint venture partners.
  • Developed anti-corruption training for third-party agents of small media production company.
  • Assisted consortium of lenders in connection with anti-corruption provisions of loan documents.
  • Assisted major U.S. product manufacturer with defense against claims of negligence, design defect, failure to warn, fraud, misrepresentation, and conspiracy.

Outside the Firm

Outside of the office, Clinton enjoys exploring the wilds of eastern Washington and Oregon, hunting for the perfect flannel shirt, playing his trusty old guitar, watching theoretical science fiction and disaster movies, and spending time with his two delightfully charismatic cats.
